Terms of Service
Last updated: 26 October 2026
These Terms govern your use of Prisma, a reviews API operated by Sopa Lab SL. Prisma lets you read and reply to reviews of businesses and apps you own or manage on Google Business Profile, the App Store, Google Play, Trustpilot and other platforms. By creating an account, clicking to accept these Terms or using an API key, you accept these Terms on behalf of the organization you represent, and you confirm you have authority to bind it.
1. Who we are
Prisma is provided by Sopa Lab SL, tax ID B23884570, Calle Reina Mercedes 1, 7º D, 28020 Madrid, Spain (“Sopa”, “we”, “us”). Contact: legal@prismareviews.com.
2. The service
Prisma provides an API, a dashboard and webhooks to:
- connect locations and apps you own or manage on supported platforms through OAuth or platform credentials;
- read reviews and their metadata in a normalized format;
- publish, update and delete replies to those reviews.
On Yelp, Tripadvisor and Booking.com, which don’t offer a reply API, Prisma reads the public reviews of the listings you connect through third-party data providers. On these and other read-only platforms, Prisma does not publish replies; each review includes a link so you can reply on the platform yourself. Which platforms and features each plan includes is described on our pricing page. Features marked beta are provided as is and may change.
Prisma is a business service for companies and professionals. It is not offered to consumers, and you must be at least 18 to use it.
3. Your account and API keys
- Give accurate information and keep it up to date.
- Keep your API keys secret. Use them only from your servers. You are responsible for all activity under your keys until you roll them (replace them) in the dashboard.
- Tell us at security@prismareviews.com without delay if you suspect a key or account has been compromised.
4. Connecting accounts you are entitled to manage
You may only connect a location, business unit or app if you, or the client on whose behalf you act, are its owner or have been granted manager or equivalent rights by its owner. If you are an agency or platform connecting accounts for your clients, you confirm that you have their authorization and will remove access when it ends.
Prisma does not read reviews of businesses you don’t own or manage. You must not use Prisma to collect, scrape or aggregate third-party reviews.
5. Platform terms
Each platform has its own terms and policies, which continue to apply to you and your content:
- Google: the Google Business Profile terms and policies and the Google API Services User Data Policy.
- Apple: the App Store Connect and Apple Developer Program terms.
- Google Play: the Google Play Developer Distribution Agreement and Developer Program Policies.
- Trustpilot: Trustpilot’s terms for businesses and its guidelines.
You must comply with them. If a platform suspends, limits or changes its API, or revokes access for a location or app, the related Prisma features may stop working. We are not responsible for platform decisions, but we will tell you about changes that affect you in the changelog.
6. Fair use and rate limits
- Each plan has the API rate limit shown on our pricing page. Requests above it receive HTTP 429 and are never billed.
- Platforms impose their own limits. For example, Google allows 10 edits per minute per Business Profile. Prisma may queue or delay requests to respect them.
- Don’t poll more often than you need. Use webhooks where possible.
- If your usage consistently exceeds fair use or harms the service for other customers, we will contact you first and may throttle requests or ask you to move to a suitable plan. We may suspend immediately only where needed to protect the service or comply with platform rules.
7. Acceptable use
You must not use Prisma to:
- post fake, misleading, defamatory, discriminatory, harassing or unlawful replies;
- disclose personal data of reviewers or others in replies beyond what the law allows;
- offer incentives for reviews, solicit fake reviews, or otherwise manipulate ratings in breach of platform policies;
- impersonate a business you don’t represent;
- reverse engineer, overload or interfere with Prisma or any platform;
- resell raw access to Prisma as a competing API without our written agreement.
8. Responsibility for replies
You decide what to publish. Every reply sent through Prisma, whether written by you, your staff, your software or an AI tool, is your content and is published under your business’s name on the platform.
- You are solely responsible for the content of replies and for their compliance with law and platform policies.
- Prisma transmits replies as instructed and does not review or approve them.
- Platforms may reject, hide or remove replies. We are not responsible for that.
9. Fees and billing
- Prisma is billed by plan, according to the number of connected locations (a Google Business Profile location, an app in one store, a Trustpilot business unit or a listing on another platform), as shown on our pricing page, monthly or annually in advance.
- The Spark plan is free for up to 2 connected locations on the platforms it includes.
- Prices are in euros unless your invoice says otherwise, and are billed in advance. Fees are non-refundable except where the law requires otherwise.
- Fees exclude taxes. You are responsible for VAT, sales, use and similar taxes, except taxes on our income. Where we are required to collect them, including US state sales tax on software services, they will appear on your invoice. EU businesses with a valid VAT number are invoiced under reverse charge.
- We may change prices with at least 30 days’ notice. Changes apply from your next billing period.
- If payment fails, we may suspend billable locations after 14 days’ notice.
10. Data protection
Our Privacy Policy explains how we handle personal data. When we process review content and other personal data on your behalf, we act as your processor under the Data Processing Agreement, which forms part of these Terms.
11. Intellectual property
We own Prisma, its software, documentation and brand. You own your content, including your replies. You grant us a limited licence to process your content only to provide the service. Review content belongs to its authors and the platforms under their terms.
Feedback you send us may be used without obligation.
12. Availability and changes
We aim for high availability but, except for the uptime commitment included in some plans as described on our pricing page, we don’t guarantee uninterrupted service. We may change or discontinue features. For breaking changes to v1 of the API, we give at least 90 days’ notice, except where a platform change or the law forces a shorter period.
13. Suspension and termination
- You can close your account at any time by emailing privacy@prismareviews.com from the address on your account. Paid periods already started are not refunded unless the law requires it.
- We may suspend or terminate your access if you materially breach these Terms, fail to pay, or if a platform requires it. Where possible, we’ll warn you first and give you time to fix the issue.
- On termination we delete your tokens and review data as described in the Privacy Policy and the DPA.
14. Warranties
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, PRISMA IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOPA DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DON’T WARRANT THAT PRISMA WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT DATA RETURNED BY PLATFORMS OR DATA PROVIDERS WILL BE COMPLETE, ACCURATE OR TIMELY.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- NEITHER PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL OR REPUTATION, INCLUDING FROM REPLIES PUBLISHED THROUGH PRISMA, EVEN IF ADVISED OF THEIR POSSIBILITY;
- EACH PARTY’S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THESE TERMS IS LIMITED TO THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
THESE LIMITS DON’T APPLY TO YOUR PAYMENT OBLIGATIONS, YOUR INDEMNITY OBLIGATIONS, FRAUD, WILFUL MISCONDUCT, GROSS NEGLIGENCE OR ANYTHING THAT CAN’T BE LIMITED BY LAW.
16. Indemnity
You will defend and indemnify Sopa against third-party claims arising from your replies, your breach of platform terms, or your connection of accounts you weren’t authorized to manage.
17. Changes to these Terms
We’ll post changes here and update the date above. For material changes, we’ll email account owners at least 30 days in advance. Continued use after that date means you accept the new Terms.
18. Governing law and jurisdiction
These Terms are governed by Spanish law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The courts of Madrid, Spain, have exclusive jurisdiction, unless mandatory law gives you the right to sue elsewhere. Either party may seek urgent injunctive relief in any competent court.
19. Export controls and sanctions
You confirm that you are not located in, or controlled by a person located in, a country or region subject to comprehensive US, EU or UN sanctions, and that you are not on any US (including the OFAC Specially Designated Nationals list), EU or UN sanctions list. You won’t use or let others use Prisma in breach of export control or sanctions laws.
20. US Government users
Prisma and its documentation are “commercial computer software” and “commercial computer software documentation” as defined in the US Federal Acquisition Regulation. US Government users receive only the rights granted to all other customers under these Terms.
21. Confidentiality
Each party will keep the other’s non-public business and technical information confidential, use it only for this agreement, and protect it with at least reasonable care. This doesn’t cover information that is public, already known, independently developed or lawfully received from a third party, or disclosures required by law (with prior notice where allowed).
22. General
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, including platform outages or API changes, network failures, natural disasters or government actions.
- Assignment. You may not assign these Terms without our written consent, except to a successor of your business. We may assign them to an affiliate or a successor of our business.
- Notices. We send notices to the email on your account; you send them to legal@prismareviews.com. You agree to receive communications electronically, and electronic notices satisfy any requirement that they be in writing.
- Entire agreement. These Terms, the DPA and any order form are the whole agreement between us about Prisma. If they conflict, the order form prevails, then the DPA for data protection, then these Terms. Terms in your purchase orders don’t apply.
- Severability and waiver. If a provision is unenforceable, the rest stays in force. Not enforcing a provision isn’t a waiver.
- Independent parties. We are independent contractors; nothing here creates a partnership, agency or employment relationship.
- Survival. Sections on fees owed, intellectual property, warranties, liability, indemnity, confidentiality and governing law survive termination.
- Language. These Terms are written in English. Any translation is for convenience only.
